These Terms & Conditions ("Terms") govern your use of the Clockout platform and related services, including the Clockout website at restaurantops.ai and the Clockout Admin iOS application ("Service"), operated by RestaurantOps AI Inc., a Delaware corporation, doing business as Clockout ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms.
Service description
Clockout is an AI-powered restaurant operations platform that provides task management, scheduling, and operational tools to help restaurant owners and managers run their businesses more efficiently. The platform includes an AI agent named Ro that manages tasks, monitors operations, and sends escalation alerts when issues require human attention.
SMS terms — Clockout SMS Alerts
By opting in to SMS notifications through the Clockout Admin iOS app, you agree to the following terms for the Clockout SMS Alerts program:
- Description: you will receive task escalation notifications from our AI agent, Ro, alerting you to urgent operational tasks that need your attention.
- Message frequency: approximately 2–3 messages per day per store.
- Message and data rates may apply.
- Opt-out: text STOP to any message to stop receiving SMS alerts. You can also disable SMS notifications in the Admin iOS app.
- Help: text HELP to any message for assistance, or contact us at support@restaurantops.ai.
- SMS consent is not a condition of purchase or use of the Clockout service. You may use the platform without enabling SMS notifications.
Google Ads Manager — billing terms
The following terms apply to Clockout Google Ads Manager, which allows you to fund and manage Google Ads campaigns through the Clockout platform.
1. Billing
Your campaign budget is charged in increments of 7 times your daily budget. When your campaign balance drops below 3 times your daily budget, your payment method will be automatically charged to replenish the balance.
2. Balance & credits
All funds deposited toward a campaign are used exclusively for advertising spend on that campaign. Unused balance remains available in your campaign and does not expire while your account is active.
3. Pausing
When you pause a campaign, automatic charges stop but your campaign continues running until your remaining balance is fully utilized. You receive the full advertising value of every dollar paid.
4. Stopping immediately
You may stop a campaign immediately at any time. Any remaining balance is preserved and available when you resume the campaign.
5. Cancellation & refunds
When you permanently end a campaign, any remaining balance will be refunded to your original payment method within 5–10 business days.
6. Advertising spend
Actual daily spend may vary from your daily budget target. Clockout will manage your budget to optimize campaign performance. If spend exceeds your balance by a small amount due to processing delays (up to $2), Clockout absorbs this cost.
7. Payment failure
If automatic payment fails, we will retry up to 3 times. If payment cannot be collected, your campaign will be paused after your remaining balance is utilized. Update your payment method to resume.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit harmful, abusive, or otherwise objectionable content.
Intellectual property
The Clockout platform, including all software, designs, text, and other content, is the property of Clockout and is protected by intellectual property laws. You retain ownership of all restaurant data, operational information, and other content you provide through the Service. We do not claim ownership of your data.
You grant us a limited license to use your data solely for the purpose of providing and improving the Service.
Limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Clockout shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.
Termination
Either party may terminate this agreement at any time. You may stop using the Service and delete your account. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately.
Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in San Francisco, California.
